Welcome We are delighted that you have decided to become a member of The Midcounties Co-operative.

This handbook has been designed as both an introduction and reference guide,

Co-operatives are founded on the principle of democratic membership where members own the business and share in the profits.

As a member of Midcounties we want you to share in our values and be rewarded for your custom and your loyalty.

Your membership card offers you the opportunity to earn membership points when you trade with us.

These points are then converted into a Share of the Profits,

the value of which is approved by our members at our members’ meetings.

As well as benefitting from receiving your Share of the Profits,

you are also now a member of an organisation which places great importance on supporting our local communities,

one that is driven by a set of strong ethical values.

More details of these are contained in this booklet.

We hope that you enjoy your membership and that you value the benefits that it brings.

Where and how can I earn points

? The Midcounties Co-operative trades mainly in Oxfordshire,

Gloucestershire,

Buckinghamshire,

Shropshire,

Staffordshire,

Wiltshire and Worcestershire,

but we also have a national trading presence through some of our businesses.

Points can be earned at all Midcounties outlets and services.

To find your nearest branch please look at the interactive map on our website,

www.midcounties.coop You can also earn points with other co-operative societies nationally that display the membership sticker (shown below).

Points earned with other co-operatives will not show up in your points total either online or at the bottom of your till receipt,

but they will appear on your statement when you receive you Share of the Profits payment.

Some other societies may calculate their Share of the Profits at different times to us,

due to different accounting years and dates of AGMs.

If this is the case,

your points will be transferred to us when that society sends out its Share of the Profits and will be paid to you in the following Midcounties pay out.

Where and how can I earn points

? Take your card with you when you shop and present it when paying.

The number of points you can earn is listed in the following table (correct at time of printing).

The Midcounties website www.midcounties.coop is the best source for current information.

Rates applicable from 24th January 2016.

The points you receive from shopping at a different society may not be at the same rate as what The Midcounties Co-operative is currently offering.

When you receive your Share of the Profits statement,

you will be able to see the points accumulated with other societies and how much these are worth.

If you shop at a store operated by another co-operative society although you may receive points for these transactions,

the value of these points will not be known until the society declares their points value at their AGM.

In the event that the other society is not making a dividend payment to its members,

you may not receive anything from us.

What rewards do I receive

? We send out a Share of the Profits proportionate to the amount you have spent during the financial year,

and at a frequency as determined by the Board of Directors.

There are a number of ways you can choose to use your Share of the Profits,

which you can find out more about below.

If you have not earned enough points to qualify for a statement and vouchers,

the points will be carried forward to the next voucher run.

Your Share of the Profits is proportional to the amount you spend with us,

so the more you trade with Midcounties,

the greater your Share of the Profits will be.

What is the qualifying period for Share of the Profits

? The Share of the Profits payment relates to all points earned within businesses operated by The Midcounties Co-operative during the entire financial year.

Points earned with other co-operative societies may also be included within the payment from us,

but at the rate of the other society Share of the Profits payment.

How will I get my Share of the Profits

? If you have chosen to receive your Share of the Profits in the form of vouchers,

these are sent to you by post.

You can also opt out for your share to be paid directly into your share account (see page 5 for more information) or as a credit towards your energy bill if you are a Co-operative Energy customer,

Either register online at www.midcounties.coop where you can choose your payment method or use the change of details form at the end of the booklet.

Where and when can I use my vouchers

? You can use your vouchers in any of the outlets displaying the membership sticker,

where they can be redeemed or exchanged for cash* (*Not all societies offer the exchange for cash.

To check which do please call the Membership Team on 0800 435 902).

You will need to have your Midcounties membership card with you to use the vouchers.

Donate your vouchers to charity You can also donate your Share of the Profits to charity,

and may choose up to three of our supported charities.

You can also choose to donate your share of the profits to our Community Fund,

which distributes grants to local community projects and organisations.

To change your payment method for your Share of the Profits,

please use the change of details form at the end of this booklet.

What is a point worth

? The points value to be paid out in Share of the Profits is voted on and declared at the Annual General Meeting and democratically accepted by our membership.

The points value is based on how we are performing as a Society in terms of profit,

as well as the total number of points to be awarded to members during the relevant qualifying period.

Share Account and Development Share Bonds Membership share account A share account is opened for you when you join the Society where your £1 share isinvested.

This £1 is then reclaimed from your first Share of the Profits once you have earned enough points.

A member is now able to invest up to £100,000 into a share account,

including the initial £1 share investment.

There are two ways you can invest funds into your Membership Share Account 1.

By cheque 2.

By electronic bank transfer Please note: Cash investments can not be made.

To withdraw from your Membership Share Account: There are three ways you can access the funds in your Membership Share Account: 1.

Payment by cheque 2.

Payment by electronic bank transfer BACS.

Funds will be received into the member’s bank account 3-5 working days after processing date.

Payment by electronic bank transfer CHAPS.

Funds will be received into the member’s bank account same working day.

There is a charge of £15 made for this service which will be taken from your share account balance.

Please note: • We will always require your share passbook to be forwarded to us with all transaction requests so it can be updated and returned to you • No payments can be made to a third party • Cash withdrawals can not be made

Introducing Development Share Bonds For information on making longer term investments known as Development Share Bonds please call 0800 435 902.

A Development Share Bond will attract a higher rate of interest than your Share Account.

The Midcounties Co-operative is not authorised by the Financial Services Authority (FSA) under the Financial Services and Markets Act.

Hence,

any investment you make in The Midcounties Co-operative is not protected by the Financial Services Compensation Scheme or subject to prudential supervision by the FSA

The Midcounties Co-operative abides by a code of practice which requires it to provide a statement to its shareholders of the nature of their investment and any change affecting it.

The position you occupy as a shareholder of The Midcounties Co-operative is no different from that of a shareholder in any other corporate body in the sense that,

if The Midcounties Co-operative fails,

or any of your investment returned to you.

Your investment is withdrawable without penalty at the discretion of the Board of Directors.

Have your say

! As a member you also have the unique opportunity to play an important part in the running of The Midcounties Co-operative.

After six months membership your Midcounties card entitles you to vote,

not only in Midcounties elections for the Board of Directors but also at our AGM and half yearly meetings.

These are important events in Midcounties’ calendar,

where you can debate with other members and see real democracy in action.

You can also stand for election to the Board or Membership Strategy Committee.

The Membership Strategy Committee is made up of 10 elected members and 2 Board Members.

The Committee plays a vital role in representing members from grass roots right through to decisions made in conjunction with the Board of Directors.

The Committee works to develop forward thinking and interactive ideas on Membership Strategy including exciting methods of promoting membership benefits and developing member engagement opportunities.

The Midcounties Co-operative will hold certain information about you.

For example,

communication with The Midcounties etc.

We use your ‘membership’ information to administer your share account,

membership record and to provide you with the membership services and benefits that you are entitled to.

Also our businesses use your ‘customer’ information to help them develop their businesses and to keep you informed of special offers,

Under no circumstances will we pass your information onto any other organisation,

unless we are required to do so for the purpose of providing your membership benefits,

We may pass information we hold about you amongst the businesses we own,

they may contact you with details and offers for goods or services which they believe will be of interest to you.

This is known as ‘direct marketing’.

We may also send you information on goods and services from other co-operatives that we think maybe of interest to you.

In addition,

we strive to keep the information we hold about you safe and secure so that no-one else can access it.

you have certain rights in relation to the information we hold about you.

To be a member you must be over 16 years of age and live in the UK.

A membership card is issued subject to the member agreeing to the full terms and conditions of The Midcounties* 3.

When your membership is accepted £1 is added to your share ledger balance and £1 is then deducted from the first share of the profits payment you receive.

The card remains the property of The Midcounties Co-operative Limited (“the Society”),

who may withdraw the card at any time.

The card is valid in outlets operated by the Society and those of other businesses as part of the Affinity Scheme.

Details of outlets and businesses included in the scheme can be found within the full terms and conditions*.

Details of products and services included in the scheme can be found on the website*.

A Share of the Profits may be paid and the points rate is dependent on The Midcounties Co-operative profits once the Society’s full year accounts have been finalised and approved by members.

You may not transfer any of your rights and duties as a member.

The card can only be used for purchases by and for the individual member and for his/her immediate,

The card is not a loyalty card,

payment card or cheque guarantee card.

If the card is lost,

In the event of a dispute,

The Midcounties decision on the matter shall be final and binding.

Expired share of the profits vouchers will not be replaced.

If you forget to present your card when purchasing goods,

the points can be added retrospectively within 28 days as long as receipts are provided.

Can I request a second card for my partner

we can issue a second card linked to the same account.

However,

as this card holder will not be a member in their own right,

they will hold no democratic rights of their own.

How do I register for online access to my account

? You can do this by visiting the Society’s homepage www.midcounties.coop and clicking Already a member and then log in.

Then click,

Register now to receive your first automated password needed to log in.

You may be asked by the system to contact us if there is no email address on file for you.

For all other membership enquiries please contact the Membership team.
